User Agreement

PLEASE READ THIS AGREEMENT CAREFULLY. BY ACCESSING OR USING THE Matou APPLICATION (“App”), YOU CONFIRM THAT:

(1) YOU ARE AT LEAST 18 YEARS OLD;

(2) YOU HAVE READ, UNDERSTOOD, AND ACCEPTED THIS USER AGREEMENT;

(3) YOU AGREE TO BE LEGALLY BOUND BY ITS TERMS. IF YOU DO NOT AGREE, DO NOT ACCESS OR USE THE APP.

1. Acceptance of Agreement

This User Agreement (“Agreement”) is a legal contract between you (“you,” “your,” or “user”) and Matou (“we,” “us,” “our,” or “Matou”) governing all use of the Matou AI character-dialogue application and related services. Your use of the App also is subject to our Privacy Policy (15 July 2025), which is incorporated herein by reference.

2. Eligibility & Age Restriction

The App is intended for individuals who are 18 years of age or older. By creating an account or otherwise using the App, you represent and warrant that you meet this age requirement. We do not knowingly permit anyone under 18 to access or use the App.

3. Description of Services

Matou allows you to:

(a) engage in conversational text-based interactions with multiple AI characters that possess distinct personalities, backstories, and narrative settings (“AI Characters”);

(b) customize individual chat backgrounds for each AI Character; and

Additional features may be added or removed at our sole discretion.

4. User Conduct & Prohibited Uses

You agree NOT to:

• Use the App for any illegal, harmful, or fraudulent purpose;

• Create, upload, or transmit content that is unlawful, obscene, harassing, hateful, violent, or otherwise objectionable;

• Impersonate any person or entity, or falsely state or misrepresent your affiliation with a person or entity;

• Reverse engineer, decompile, or attempt to extract the source code of the App or any AI model;

• Introduce viruses, malware, or any other malicious code;

• Use automated scripts (bots, spiders, scrapers) to access or interact with the App;

• Violate any applicable law or regulation, including export control and sanctions laws;

• Engage in any activity that could disable, overburden, or impair the App or interfere with any third-party use.

5. Intellectual Property

6.1 App & AI Characters. The App, its software, trademarks, trade Matous, logos, and all AI Characters (including pre-defined backstories, personalities, and dialogue) are owned or licensed by Matou and are protected by intellectual-property laws.

6.2 User-Generated Content. You retain ownership of original text you input into the App (“User Content”). By submitting User Content, you grant us a worldwide, non-exclusive, royalty-free, sublicensable license to host, store, reproduce, adapt, modify, translate, and display such content solely for operating, improving, and providing the App.

6.3 No Transfer. Except for the limited license above, all rights in and to the App and AI Characters remain with Matou.

6. Disclaimer of Warranties

THE APP, AI CHARACTERS, AND ALL CONTENT ARE PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, Matou DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE APP WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, OR THAT AI RESPONSES WILL BE ACCURATE OR RELIABLE.

7. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, Matou, ITS AFFILIATES, OFFICERS, EMPLOYEES, OR AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES (INCLUDING LOSS OF PROFITS, DATA, OR GOODWILL) ARISING OUT OF OR RELATING TO YOUR USE OR INABILITY TO USE THE APP, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

8. Termination

We may suspend or terminate your account or access to the App at any time, with or without notice, for any reason, including violation of this Agreement.

9. Modifications to the Agreement

We reserve the right to modify this Agreement at any time. Material changes will be posted in the App and, where feasible, emailed to you. Continued use of the App after changes become effective constitutes acceptance of the revised Agreement.

10. Governing Law & Dispute Resolution

This Agreement is governed by the laws of local, without regard to conflict-of-law principles.

11. Entire Agreement

This Agreement, together with the Privacy Policy and any additional terms presented to you for specific features, constitutes the entire agreement between you and Matou regarding the App and supersedes all prior understandings.
